Introduction

By accessing or using the Salt & Sky website (the “Site”) or purchasing products from Salt & Sky (“Salt & Sky,” “we,” “us,” or “our”), you agree to be bound by these Terms & Conditions (
“Terms”. If you do not agree, please do not use the Site or purchase our products or gift cards.

Cottage Food Operation & Allergen Disclosure

Salt & Sky operates as a cottage food business under Kansas Cottage Food laws. All food products are prepared in a home kitchen that is not subject to routine government inspection.

Our products may contain or may come into contact with known food allergens, including but not limited to:

• Wheat/gluten

• Soy

• Dairy

• Eggs

• Tree nuts and peanuts

• Seeds (including sesame)

• Other potential allergens

We strive to label products accurately, but cross-contact is possible in a home kitchen environment. By purchasing or consuming our products, you:

• Understand and accept the risks of potential allergen exposure; and

• Agree that you are responsible for reviewing ingredient information and managing your own dietary needs and restrictions.

Salt & Sky is not liable for any allergic reactions, sensitivities, or other health issues arising from the consumption or use of our products.

Scope of Services and Products

Products

Salt & Sky offers spice blends, tea blends, drink mixes, and similar products (“Products”). Specific products, ingredients, and recipes may change without notice.

Gift Cards

From time to time, we may offer digital or physical gift cards (“Gift Cards”), which may be purchased as described in these Terms and redeemed for eligible Products as outlined in the Gift Cards section below.

Sales Channels We sell Products (and, when available, Gift Cards):

• Directly to customers at vendor booths and events (such as farmers’ markets, sip & shop events, and other markets); and

• Through orders placed remotely (for example, via our website, social media, email, or other channels), with shipping to customers within the United States.

Eligibility and Acceptable Use

Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to place an order. By using the Site or purchasing from us, you represent and warrant that you meet this requirement.

Acceptable Use

You agree to use the Site only for lawful purposes and in accordance with these Terms.

Prohibited Activities

You agree not to:

• Use the Site for any illegal or unauthorized purpose;

• Attempt to gain unauthorized access to the Site, servers, or related systems;

• Interfere with or disrupt the operation of the Site;

• Copy, reproduce, distribute, or exploit any portion of the Site or its content without our prior written consent.

Ordering and Payment

Placing Orders

By placing an order (online, in person, or by other remote means), you are making an offer to purchase Products under these Terms. We reserve the right to accept or decline any order at our discretion, including when Products or Gift Cards are unavailable, there are pricing or description errors, or for other business reasons.

Payment Processing

We use trusted third-party payment processors to securely process payments. When you submit payment information, it is provided directly to these processors and handled in accordance with their own terms and privacy policies.

Salt & Sky does not store your full payment card number on our own systems.

Pricing and Taxes

All prices are in U.S. dollars and are subject to change without notice.

Applicable sales taxes and shipping charges will be added at checkout or at the time of invoicing, as required by law.

For Gift Cards, any applicable taxes are generally applied at the time of redemption (when Products are purchased using the Gift Card), in accordance with applicable tax laws.

Shipping, Risk of Loss, and Delays

Shipping Area

We ship Products to addresses within the United States, unless otherwise stated. Gift cards may be delivered digitally or physically, depending on the option you select (if available).

Risk of Loss

Once your order is handed over to the shipping carrier, risk of loss passes to you. You are responsible for any loss, theft, or damage that occurs during or after shipment.

Shipping Delays and Damage

Salt & Sky is not responsible for:

• Shipping delays caused by carriers, weather, incorrect or incomplete addresses, or other circumstances beyond our control; or

• Damage to Products that occur during shipment or after delivery.

If your order is delayed, lost, or arrives damaged, please contact us. We may assist you in working with the carrier, but we do not guarantee replacement, reimbursement, or specific outcomes.

Returns, Refunds, and Cancellations

Food Products – All Sales Final

Due to the nature of food products and for safety reasons, we generally do not accept returns on opened or consumable items. All sales of food Products are typically final.

Order Problems and Quality Concerns

If there is a problem with your order (for example, an incorrect item, apparent defect, or quality concern), please contact us at [email protected] within 14 days of delivery with:

• Your name;

• Order details (including order number, if available); and

• A description of the issue (and clear photos, if applicable).

We will review your concern and, at our sole discretion, may offer a replacement, partial or full refund, or store credit. Because of the nature of our Products, we cannot guarantee a particular remedy in every case.

Cancellations

Orders can generally only be canceled if they have not yet been prepared or shipped. Once an order is in process or has shipped, it may not be canceled.

Gift Cards

Issuance and Scope

Salt & Sky may offer digital or physical Gift Cards. These Gift Cards are issued by Salt & Sky and are governed by these Terms, including this Gift Cards section.

Gift Cards may be purchased through our website, at in-person events and markets, or through other sales channels we may offer from time to time.

Redemption

Gift Cards are redeemable only for eligible Products offered by Salt & Sky:

·       Online at saltandskyblends.com; and

·       In person at vendor booths or events where we accept Gift Cards

Gift cards cannot be redeemed for cash, except where required by applicable law, and cannot be used to purchase other gift cards. Use of a Gift Card does not guarantee the availability of any particular product, service, or price.

Applicable taxes and any shipping charges for orders paid with a Gift Card will be calculated and charged at the time of redemption.

No Expiration; No Fees

Unless otherwise required by law:

·       Salt & Sky Gift Cards do not expire; and

·       We do not charge activation fees, service fees, or inactivity fees in connection with Gift Cards.

Non-Refundable, Non-Reloadable, and Transfer Limitations

·       All Gift Card sales are final and non-refundable.

·       Gift Cards are not reloadable.

·       Gift Cards may not be resold, transferred for value, or used for unauthorized advertising, marketing, sweepstakes, or other promotional purposes without our prior written consent.

We may cancel any Gift Card that we believe has been resold, transferred, or used in violation of these Terms, without obligation to refund.

Lost, Stolen, or Unauthorized Use

Gift Cards should be treated like cash:

·       We are not responsible for lost, stolen, damaged, or unauthorized use of any Gift Card.

·       We are not obligated to replace any Gift Card. However, at our sole discretion, we may attempt to assist you if you provide satisfactory proof of purchase and the original gift card number or code. Any replacement will be limited to the verified remaining balance, if any, in our system.

Balance and Inquiries

To inquire about a Gift Card balance or with any questions regarding Gift Cards, you may contact us using the contact information provided in the Contact Information section of these Terms.

Fraud, Abuse, and Misuse

We reserve the right, without notice, to:

·       Refuse to honor, suspend, or cancel any Gift Card;

·       Limit the use of any Gift Card; or

·       Close or flag related customer accounts

If we suspect fraud, illegal activity, abuse, or violation of these Terms. In such cases, we may decline to issue a refund, to the extent permitted by law.

Limitation of Liability for Gift Cards

To the fullest extent permitted by law, our liability with respect to any Gift Card is limited to the unused balance on that Gift Card at the time a claim is made. This Gift Cards section supplements (and does not limit) the Limitation of Liability and Disclaimer of Warranties sections elsewhere in these Terms.

Product Images and Representation

Images and other visual content on the Site and in our marketing materials are provided for demonstration and illustrative purposes only. Actual Products, including color, texture, packaging, and presentation, may vary from what is shown online or in promotional materials.

Salt & Sky does not guarantee that:

• The product you receive will look exactly like the images shown; or

• Every batch will be identical in appearance, due to normal variations in ingredients and small-batch production.

No Medical or Health Claims

Our Products are intended solely for culinary and beverage use. They are not intended to diagnose, treat, cure, or prevent any disease or medical condition. Statements on the Site or product packaging have not been evaluated by the Food and Drug Administration (FDA).

You should always consult a qualified healthcare professional regarding any medical or dietary concerns. You are solely responsible for your personal health and consumption decisions.

Intellectual Property

All content on the Site, including but not limited to text, graphics, images, logos, product descriptions, and designs, is the property of Salt & Sky or its licensors and is protected by applicable intellectual property laws.

You may not:

• Copy, reproduce, modify, distribute, or publicly display any content from the Site; or

• Use our trademarks, trade dress, or branding without our prior written consent.

Marketing and Communications

By providing your contact information (such as email address, phone number, or mailing address), you agree that Salt & Sky may contact you for purposes including:

• Order confirmations and updates;

• Responses to questions or requests;

• Marketing communications such as promotional emails or text messages about our Products, events, or special offers.

You may unsubscribe or stop receiving marketing messages at any time by:

• Clicking the “unsubscribe” link in marketing emails;

• Following the instructions provided in a text message (such as replying “STOP,”; or

• Contacting us directly at [email protected].

Even if you opt out of marketing communications, we may continue to send you non-marketing messages, such as order confirmations, shipping updates, or important notices about your purchases.

Disclaimer of Warranties

To the fullest extent permitted by law, the Site and our Products are provided on an “as is” and “as available” basis, without any warranties of any kind, whether express or implied, including but not limited to:

• Implied warranties of merchantability;

• Fitness for a particular purpose;

• Non-infringement.

We do not warrant that:

• The Site will be uninterrupted, secure, or error-free; or

• Our Products will meet every individual expectation or purpose.

Limitation of Liability

To the fullest extent permitted by law:

• Salt & Sky and its owner shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or relating to your use of the Site or the purchase, use, or consumption of our Products or Gift Cards; and

• Our total liability for any claim related to your use of the Site, Products, or Gift Cards shall not exceed the total amount you paid for the order or Gift Card giving rise to the claim, or, in the case of Gift Cards, the remaining unused balance on the Gift Card at the time of the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Salt & Sky and its owner from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of the Site, our Products, or our Gift Cards;

• Your violation of these Terms & Conditions; or

• Your violation of any rights of a third party.

Governing Law

These Terms & Conditions and any dispute related to your use of the Site, Products, or Gift Cards shall be governed by and construed in accordance with the laws of the State of Kansas, without regard to its conflict of laws principles.

Changes to These Terms

We may update or modify these Terms & Conditions from time to time. When we do, we will revise the Effective Date at the top of this page. Your continued use of the Site or purchase of our Products or Gift Cards after any changes are posted constitutes your acceptance of the revised Terms.
